Terms of Service: Rientro

These Terms of Service ("Terms") govern your access to and use of Rientro, including the Rientro mobile applications, websites, and related services (collectively, the "Service").

Rientro is designed to support caregivers and care teams by helping them notice meaningful changes, maintain continuity, and respond with greater clarity when circumstances become uncertain.

Rientro is a support system, not a substitute for human care, professional judgment, or emergency services.

By creating an account, subscribing to the Service, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Rientro Is

Rientro is a technology service intended to assist caregivers and care teams in monitoring changes in a person's location, activity, and other available signals and in communicating information that may help support an appropriate human response.

The Service may use multiple signals and automated processes to identify patterns, changes, or conditions that warrant attention.

Rientro is designed around a simple principle:

The Service therefore provides information, alerts, prioritization, and other forms of assistance. It does not replace the person responsible for care.

Rientro does not assume responsibility for supervising, locating, treating, transporting, or otherwise caring for any individual.

2. Important Safety Information

2.1 Rientro Is an Assistive Service

Rientro is not a substitute for:

• physical supervision or appropriate environmental safeguards;
• professional caregiving;
• medical evaluation or treatment;
• emergency services;
• an emergency response plan; or
• the judgment of a caregiver, clinician, facility, or other responsible person.

No technology can guarantee that an incident will be prevented, detected, communicated, or resolved.

You should not use Rientro as your sole means of protecting a person from injury, wandering, falls, medical emergencies, or other hazards.

2.2 Alerts Are Not Guarantees

Rientro may generate alerts based on available information and system rules.

An alert may be delayed, incomplete, inaccurate, or not generated at all.

Likewise, the absence of an alert does not mean that a person is safe.

Alert timing, location information, and other outputs may be affected by device condition, battery level, connectivity, positioning technology, environmental conditions, third-party services, configuration, or other circumstances outside Rientro's control.

2.3 Emergency Situations

Rientro is not an emergency service and should not be treated as one.

If you believe a person is experiencing an immediate threat to life, health, or safety, contact the appropriate emergency service directly.

Any automated message, alert, tracking link, or other information provided by Rientro is intended to assist a human response. It does not itself constitute an emergency dispatch, professional rescue, medical diagnosis, or guarantee of intervention.

2.4 Medical Information

Certain devices or integrations may provide information such as heart rate, fall-related events, or other health-related signals.

Such information is provided for assistance and context only.

Rientro does not provide medical diagnosis, treatment, or medical advice through the Service. You remain responsible for obtaining appropriate professional medical care.

Rientro is not represented as a medical device unless expressly identified as such in applicable product documentation.

3. Technology Has Limits

The Service depends on technology that is inherently imperfect.

Depending on the configuration, Rientro may rely on mobile devices, wearable devices, GPS or other positioning systems, cellular networks, Wi-Fi, internet connectivity, cloud infrastructure, mapping services, messaging services, operating-system capabilities, and other third-party technologies.

Any of these may become unavailable, inaccurate, delayed, degraded, or discontinued.

Examples include:

• a device losing power or becoming unavailable;
• inaccurate or unavailable location information;
• cellular or internet connectivity failures;
• changes in operating-system behavior;
• network or infrastructure outages;
• wearable sensors failing to detect an event;
• delayed or undelivered messages;
• inaccurate or incomplete information entered by a user; or
• third-party services becoming unavailable or changing their functionality.

Rientro may attempt to detect or compensate for some of these conditions, but cannot eliminate them.

Accordingly, no particular response time, location accuracy, uptime, alert frequency, detection rate, or successful outcome is guaranteed.

Any reference to a target, threshold, response interval, or system level in product materials describes intended system behavior, not a promise that the result will occur in every circumstance.

4. Your Responsibilities

Rientro works together with the people responsible for care. You agree to use the Service responsibly and to maintain the conditions necessary for it to function as intended.

You are responsible for:

1. maintaining compatible devices and keeping them adequately charged;
2. maintaining required network or connectivity conditions;
3. providing accurate and current information;
4. keeping emergency contacts and other important profile information current;
5. ensuring that you have appropriate authority to provide information about the person being monitored;
6. understanding the alert and response procedures applicable to your situation;
7. periodically checking that your devices, notifications, and configured contacts are functioning as expected; and
8. taking appropriate human action when circumstances require it.

You should not configure Rientro in a manner that causes another person to receive information about an individual without an appropriate legal or personal basis for doing so.

5. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You must provide information that is reasonably accurate and must update it when necessary.

You may not:

• use the Service for unlawful purposes;
• impersonate another person or misrepresent your authority;
• interfere with the operation or security of the Service;
• attempt to gain unauthorized access to another account or system;
• reverse engineer, copy, or misuse the Service except where applicable law expressly permits it; or
• use the Service in a manner that creates unreasonable risk to another person or to the Service.

We may suspend or restrict access where reasonably necessary to protect users, the Service, or third parties, or where continued use would violate these Terms or applicable law.

6. Information You Provide

You retain your rights in information that you submit to Rientro, subject to the rights necessary for us to operate the Service.

You authorize Rientro to process information as necessary to provide, maintain, secure, improve, and support the Service, in accordance with these Terms and our Privacy Policy.

You are responsible for ensuring that information you provide is accurate and that you have the appropriate authority or permission to provide it.

This is particularly important for information concerning another person, including a family member, patient, resident, caregiver, emergency contact, or other individual.

Our collection and use of personal information are described in the Privacy Policy, which forms part of the terms governing your use of the Service.

7. Emergency Contacts and Communications

If you configure emergency contacts or other recipients, you represent that you have the appropriate authority to provide their contact information and to permit Rientro to send them communications associated with the Service.

Messages may contain information such as location, alert information, or other information configured by you.

Rientro does not guarantee that a message will be delivered, read, understood, or acted upon.

An emergency contact is not automatically an emergency responder.

If an emergency service number is entered as a contact, any communication sent by Rientro should not be assumed to constitute an emergency dispatch or to receive the attention of emergency personnel.

8. Guest Mode and Drills

Rientro may provide demonstration, guest, or drill functionality.

These features are intended for evaluation, education, configuration, or testing.

Unless expressly stated otherwise, simulated events, locations, alerts, and responses are not real emergency events and must not be relied upon during an actual emergency.

A successful demonstration or drill does not establish that the Service will operate identically under real-world conditions.

9. Subscriptions, Fees, and Cancellation

Certain features of the Service require a paid subscription.

The applicable price, billing period, included features, trial terms, and other commercial conditions will be presented to you before purchase and may also be described in the applicable product materials.

Unless otherwise stated at the time of purchase:

• subscriptions renew according to the billing period selected;
• cancellation prevents future renewal but does not ordinarily create a refund for a period already paid;
• access to paid features may end when a subscription expires or payment is not successfully completed; and
• purchases made through Apple, Google, or another platform may also be subject to that platform's applicable payment and refund terms.

We may change subscription prices or paid features in the future. Where required by law, we will provide appropriate notice before a price change takes effect.

10. Changes to the Service

Rientro is a developing service.

We may add, modify, suspend, or discontinue features, functionality, integrations, or portions of the Service as the product evolves.

Some future capabilities may use different technologies or provide different forms of assistance than those available today.

No description of a planned, experimental, developmental, or future capability creates a contractual promise that the capability will be delivered.

We will make reasonable efforts to maintain continuity for material changes that affect existing users, subject to technical, legal, security, and operational requirements.

11. Intellectual Property

The Service, including its software, design, interfaces, documentation, branding, and underlying technology, is owned by or licensed to Rientro and is protected by applicable intellectual-property laws.

These Terms give you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose during the period in which you are authorized to use it.

Except as expressly permitted by law or by written agreement with Rientro, you may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service.

12. Third-Party Services

The Service may depend upon or interact with third-party products, platforms, networks, infrastructure, mapping services, communication providers, device manufacturers, app stores, or other services.

Rientro does not control those third parties and cannot guarantee their availability, accuracy, security, or continued operation.

Your use of third-party services may also be subject to their own terms and privacy policies.

A change, interruption, limitation, or failure of a third-party service does not necessarily constitute a failure of Rientro's contractual obligations where that service is outside Rientro's reasonable control.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

Rientro does not warrant that the Service will be uninterrupted, error-free, secure, completely accurate, or available at all times or in all locations.

Rientro does not warrant that the Service will prevent an incident, detect every incident, locate a person, provide a particular response time, transmit every alert, or produce any particular safety outcome.

No information or statement provided by Rientro creates a warranty unless expressly stated in these Terms or in a written agreement signed by Rientro.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIENTRO AND ITS OWNERS, OPERATORS, DEVELOPERS, AFFILIATES, SERVICE PROVIDERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIENTRO WILL NOT BE LIABLE FOR LOSS OR HARM RESULTING FROM CIRCUMSTANCES OUTSIDE ITS REASONABLE CONTROL, INCLUDING FAILURES OF DEVICES, NETWORKS, POSITIONING SYSTEMS, THIRD-PARTY SERVICES, USER CONFIGURATION, OR ACTIONS OR OMISSIONS OF CAREGIVERS, EMERGENCY CONTACTS, FACILITIES, OR OTHER PERSONS.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

TO THE EXTENT LIABILITY MAY LAWFULLY BE LIMITED, RIENTRO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RIENTRO FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) THE MINIMUM AMOUNT REQUIRED BY APPLICABLE LAW.

15. Indemnification

To the extent permitted by applicable law, you agree to defend and indemnify Rientro against third-party claims arising from your unlawful use of the Service, your violation of these Terms, or your failure to obtain appropriate authority to provide information about another person.

This section does not require you to indemnify Rientro for claims arising solely from Rientro's own conduct to the extent such indemnification would be prohibited by applicable law.

16. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access where reasonably necessary because of non-payment, misuse, security concerns, legal requirements, or material violation of these Terms.

We may also discontinue the Service as a whole.

Termination does not affect rights or obligations that, by their nature, should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, dispute resolution, and applicable law.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles, except to the extent that applicable law requires the application of another jurisdiction's law.

Before initiating a formal proceeding, you and Rientro agree to make a good-faith effort to resolve any dispute informally by contacting the other party and providing a reasonable opportunity to address the issue.

Any arbitration provision, including the applicable arbitration rules, procedures, individual-claim requirement, allocation of fees, available remedies, and any permitted method of opting out, will apply only to the extent enforceable under applicable law.

To the extent permitted by applicable law, disputes subject to arbitration will be resolved on an individual basis and not as a class, collective, or representative action.

Nothing in this section prevents either party from seeking temporary or equitable relief from a court where such relief is legally available, or from exercising any right that applicable law does not permit the parties to waive.

18. Changes to These Terms

We may update these Terms as the Service, applicable law, or our practices evolve.

When we make material changes, we will provide notice by an appropriate method, which may include an in-app notice, website notice, or email.

The updated Terms will identify their effective date.

Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

19. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

A failure by Rientro to enforce a provision of these Terms does not constitute a waiver of that provision.

These Terms, together with the Privacy Policy and any other terms expressly incorporated by reference, constitute the agreement between you and Rientro concerning the Service.

These Terms do not create a partnership, agency, employment, fiduciary, or professional-care relationship between you and Rientro.

You may not assign your rights or obligations under these Terms except as permitted by law. Rientro may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, or similar transaction.

A Final Word About the Service

Rientro exists because care does not become less human when uncertainty increases.

The Service is built to help people notice what matters, reduce unnecessary cognitive burden, and preserve continuity where ordinary life is otherwise easily disrupted.

Technology cannot remove uncertainty.

It can, however, help people meet uncertainty with better information, better timing, and greater clarity.

That is what Rientro is intended to do.

Rientro is a tool in service of care. The responsibility for care remains human.
